1. Definitions

1.1 Company

"Normera Mindlife Private Limited", "the Company", "we", "our", or "us" refer to Normera Mindlife Private Limited as the operator and service provider of the breakOCD platform throughout this document.

1.2 User

"User", "you", or "your" refers to any individual who accesses or uses the breakOCD platform as a recipient of our products, services, and resources.

1.3 Platform

"Platform" refers to the breakOCD mobile application, website, and any associated web interfaces through which Users access the services provided by the Company.

1.4 Clinical Panel Professional

"Clinical Panel Professional", "therapist", or "consultant" refer to qualified mental health professionals authorised by the Company to deliver services through the platform.

1.5 Psychiatrist

"Psychiatrist" or "doctor" refers to a medical doctor qualified and licensed in India, specialising in psychiatry.

2. Nature of Service

Normera Mindlife Private Limited operates breakOCD, a digital mental health support and psychoeducation platform designed exclusively for individuals living with Obsessive-Compulsive Disorder. All services are delivered online. The platform offers the following, including but not limited to:

  • An AI-powered conversational companion providing OCD-specific psychoeducation, evidence-based support techniques, and guided exercises.

  • Online consultations with qualified mental health professionals from the Clinical Panel, conducted via audio or video call.

  • OCD-specific self-assessment tools and psychological questionnaires to help users understand and track their experience.

  • Psychoeducational articles and audio resources.

  • Self help tools like journaling, routine building, mood tracking, guided meditations.

All services are delivered in compliance with our confidentiality and data protection obligations as set out in the Privacy Policy. The Company reserves the right to add, modify, or remove features and services from the platform at any time without prior notification.

3. Disclaimer

breakOCD is not designed to address medical or psychological emergencies. The platform does not provide crisis intervention services and is not equipped to support individuals who are experiencing thoughts of self-harm or suicide, or who are exhibiting symptoms of acute or severe psychiatric conditions such as psychosis or schizophrenia. In such situations, immediate in-person medical care is required.

If you are experiencing a mental health crisis, are at risk of harming yourself or others, or require emergency psychiatric support, we urge you to go to the nearest hospital or emergency room, or contact emergency services directly. We encourage you to involve a trusted family member or friend who can assist you in seeking appropriate care.

4. User Agreement

By accessing or using the platform and its services, you confirm either: (i) that you are 18 years of age or older and are legally competent to enter into contracts under the Indian Contract Act, 1872; or (ii) if you are under 18 years of age, that your parent or legal guardian is accessing the platform on your behalf and provides informed consent for you to receive mental health support services, and agrees to be bound by these Terms and Conditions on your behalf.

Please read these Terms and Conditions carefully. They take effect immediately upon your use of the platform or any of its services, whether accessed via mobile device, tablet, computer, or any other medium.

The Company reserves the right to amend these Terms and Conditions at any time without prior notice. Your continued use of the platform following any such amendment constitutes your acceptance of the revised terms. It is your responsibility to review these Terms and Conditions periodically.

By using our services, you acknowledge that Clinical Panel Professionals are fully qualified and licensed in India and may be located remotely. You understand that the platform does not replace face-to-face clinical care and is not intended to provide a medical diagnosis, prognosis, or state-regulated clinical treatment.

5. Applicability of Terms

These Terms and Conditions apply to all users of the platform, including browsers, registered users, and anyone who accesses any feature or content of the platform.

By using the platform, you irrevocably accept all obligations set out in these Terms and Conditions, the Privacy Policy, and any other policies published by the Company. These Terms and Conditions supersede any prior oral or written terms that may have been communicated to you.

6. Termination of Agreement

You may terminate your agreement with the Company at any time, provided all outstanding amounts owed to the Company have been settled. Upon termination, certain information may be retained on our servers in accordance with our Privacy Policy and applicable law. The Company will aim to process all such requests within 14 working days, subject to applicable legal retention obligations.

The Company reserves the right to terminate a User's access to the platform at any time without providing a reason. Any amounts owed to the Company at the time of termination remain payable within 30 days. Any amounts owed to the User will be processed in accordance with the Company's Refund Policy.

7. Terms of Use

By using the platform, you agree to the following:

  • You are 18 years of age or older and legally competent to contract under the Indian Contract Act, 1872; or, if accessing services as a minor, your parent or legal guardian is using the platform on your behalf and is competent to contract.

  • All information you provide during registration and use of the platform is truthful, accurate, and current. You agree to maintain the accuracy of this information.

  • Your use of the platform is solely for personal, non-commercial purposes. Commercial use of any platform content or services is prohibited without express written permission from the Company.

  • You shall not attempt to modify, decompile, reverse engineer, disassemble, or otherwise tamper with any component of the platform or its underlying technology.

  • You shall not delete, alter, or misrepresent any content on the platform, including legal notices, disclaimers, or proprietary notices such as copyright or trademark marks.

  • You shall not use the platform in any manner that is unlawful or that causes harm to the Company, other users, or any third party.

  • You shall not reproduce, duplicate, copy, sell, or otherwise exploit any part of the platform or its services without express written permission from the Company.

  • You shall not upload, transmit, or introduce any software, file, or code that contains a virus, malware, or any other harmful or disruptive component.

  • You agree to pay all applicable fees on time. The Company reserves the right to apply charges on overdue amounts.

  • You shall not upload, transmit, or share any information that belongs to another person without their authorisation, or that is false, misleading, or harmful to the integrity, security, or sovereignty of India.

8. Intellectual Property

All original content on the platform, including but not limited to text, graphics, logos, audio, and software, is the intellectual property of the Company and is protected by applicable Indian and international copyright law. No content from the platform may be copied, reproduced, republished, transmitted, or distributed in any form without the express prior written consent of the Company.

Third-party content appearing on the platform remains the property of the respective rights holders. The Company makes no claim to ownership of such content. Platform content is provided for informational purposes only. The Company accepts no liability for any loss or damage arising from reliance on any content published on the platform.

9. User Content

Where you submit any content to the platform — including text, images, audio, feedback, ratings, or other material — you represent and warrant that:

  • You are the sole owner of, or are duly authorised to submit, such content.

  • The content does not infringe upon the rights of any third party, is not unlawful, defamatory, obscene, or harmful, and complies with all applicable laws and these Terms and Conditions.

  • The use or reproduction of the content does not violate any applicable law or third-party right.

  • The content is accurate and not false or misleading in any respect.

By submitting content to the Company, you grant the Company a royalty-free, perpetual, irrevocable, non-exclusive, worldwide licence (with the right to sublicense) to use, copy, reproduce, publish, translate, distribute, and create derivative works from such content, solely in connection with the operation and improvement of the platform and its services.

10. Payment and Refunds

By using the platform, you agree to pay all applicable fees and charges as and when they fall due. You authorise the Company to deduct applicable fees from payments made at the time of accessing paid services or features on the platform. You are solely responsible for any telephone or internet access charges incurred in using the platform.

Details of applicable fees and payment methods are set out in the Payments section of the platform. All cancellations and refunds are governed by the Company's Cancellation and Refund Policy. The Company reserves the right to update the Payment Policy and the Cancellation and Refund Policy at any time without prior notice.

11. Privacy Policy

Your use of the platform is subject to the Company's Privacy Policy, which is incorporated into these Terms and Conditions by reference. Please read the Privacy Policy carefully. The Company reserves the right to amend the Privacy Policy at any time in accordance with applicable law.

12. Limitation of Liability

The Company does not guarantee that you will be accepted as a registered user or that any particular Clinical Panel Professional or Psychiatrist will be available to you. The Company reserves the right to terminate any user's registration at any time without providing a reason.

The Company operates as a technology platform that facilitates connections between users and Clinical Panel Professionals or Psychiatrists. The quality and outcome of any professional service is dependent on the information provided by the user and the independent clinical judgement of the professional. The Company makes no guarantee of any particular clinical outcome.

The Company takes reasonable steps to verify the credentials of all Clinical Panel Professionals and Psychiatrists registered on the platform. However, the Company does not accept liability for any misrepresentation or inaccuracy in credentials or claims made by any such professional.

Clinical Panel Professionals and Psychiatrists have a contractual relationship with the Company and are authorised to use the platform to deliver services. They operate independently in the delivery of those services. The Company does not assume responsibility for their clinical advice, conduct, or any information they provide through the platform, whether directly or indirectly. The Company shall not be held liable for any loss, damage, or harm arising from the actions or advice of any Clinical Panel Professional or Psychiatrist.

The Company does not endorse any particular clinical approach, theory, or viewpoint. No warranty or guarantee of any kind is given in relation to any information, advice, or recommendation made available through the platform.

To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, affiliates, agents, service providers, and contractors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive loss or damage of any kind. In all circumstances, the Company's maximum aggregate liability shall not exceed the amount paid by you, if any, for the specific service or product giving rise to the claim.

The Company considers it ethically inappropriate for Clinical Panel Professionals or Psychiatrists to maintain personal or informal relationships with current or former clients outside of the clinical context. During and following any period of service, users are not permitted to pursue personal or informal relationships — including connections on social or professional networks such as Instagram, Facebook, LinkedIn, or similar platforms — with any Clinical Panel Professional or Psychiatrist associated with the Company.

13. Disclaimer on Warranties

Any interaction between you and a Clinical Panel Professional or Psychiatrist through the platform is solely between you and that professional. The Company shall not be held responsible for the content, outcome, or conduct of any such interaction. Your decision to engage any professional through the platform is made at your sole discretion and risk.

The platform, all services, content, and materials are provided on an "as is" and "as available" basis. The Company and its affiliates expressly disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. No representation is made that the services will meet your individual requirements or that they will be uninterrupted, timely, secure, or error-free.

The platform may contain links to third-party websites. These links are provided for convenience only. The Company does not endorse or take responsibility for the content, accuracy, or practices of any third-party site and will not be liable for any loss or damage arising from your use of such sites.

14. User Submissions and Communications

Any content, comments, ideas, suggestions, or other material you submit to the Company — whether solicited or not — may be used by the Company at any time and in any medium for the purpose of operating, improving, or promoting the platform, without restriction or compensation to you.

The Company maintains the confidentiality of all communications between users and Clinical Panel Professionals within the context of the therapeutic relationship, subject to compliance with applicable law and the exceptions described in the Privacy Policy.

You agree that any submissions you make will not infringe upon the rights of any third party. You agree not to use the platform to solicit personal contact information from other users.

15. Prohibited Uses

In addition to all other restrictions set out in these Terms and Conditions, you are prohibited from using the platform or its content for any of the following purposes:

  • Any unlawful purpose, or to facilitate or encourage unlawful acts.

  • Any purpose that violates applicable Indian or international law, regulation, or ordinance.

  • Infringement of the intellectual property rights of the Company or any third party.

  • Harassment, abuse, defamation, discrimination, or intimidation of any person on any basis.

  • Submitting false, misleading, or fraudulent information.

  • Uploading or transmitting viruses, malware, or any other harmful or disruptive code.

  • Collecting, tracking, or misusing the personal information of other users.

  • Any obscene, immoral, or harmful purpose.

  • Circumventing or interfering with the security or integrity of the platform or any associated service.

16. Indemnification

You agree to indemnify and hold harmless the Company and its subsidiaries, affiliates, officers, directors, employees, agents, contractors, and service providers from and against any claim, demand, loss, liability, or expense — including reasonable legal fees — arising from your breach of these Terms and Conditions, your violation of any applicable law, or your infringement of the rights of any third party.

You agree to indemnify the Company against any breach of confidentiality arising from your own acts or omissions. Where you access the platform through a third-party service or application, you indemnify the Company against any loss or liability arising from any act or omission of that third party.

17. Errors, Inaccuracies and Omissions

The platform may occasionally contain typographical errors, inaccuracies, or omissions relating to service descriptions, pricing, or other information. The Company reserves the right to correct any such errors and to update or modify information at any time without prior notice. This right extends to cancelling any transaction where information material to that transaction was inaccurate at the time it was made.

We will acknowledge your grievance promptly and aim to resolve it within a reasonable period of time. If you remain dissatisfied, you may escalate your complaint to the Data Protection Board of India once constituted under the Digital Personal Data Protection Act 2023.

19. Jurisdiction and Governing Law

These Terms and Conditions are governed by the laws of India. All disputes arising out of or in connection with these Terms and Conditions, including disputes regarding their interpretation or enforcement, shall be subject to the exclusive jurisdiction of the courts at Mumbai, India.

If you access the platform from outside India, you do so of your own volition and are solely responsible for compliance with applicable local laws. The Company accepts no liability for non-compliance with laws in jurisdictions other than India.

20. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other policies published by the Company on the platform, constitute the entire agreement between you and the Company with respect to your use of the platform and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.

The Company's failure to enforce any right or provision under these Terms and Conditions shall not constitute a waiver of that right or provision.

21. Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed severed from these Terms and Conditions, and the validity and enforceability of all remaining provisions shall not be affected.
